In order to promote the healthy development of the service outsourcing industry, this agreement was formulated to enhance the cooperation between the Ministry of Commerce, Ministry of Industry and Information Technology, Ministry of Science and Technology, Ministry of Education and Shanxi Provincial People's Government and Xi'an People's Government and build Xi'an into "China's Service Outsourcing Model City" with certain international competitiveness.

I. In order to expedite the development of service outsourcing industry, promote balanced development of regional economic, optimize the export structure, improve the utilization level of foreign investment, increase employment of college students, since 2006, the Ministry of Commerce has been issuing "Circular on the Implementation of ‘Thousand-hundred-ten Project' for Service Outsourcing Industry". The Ministry of Commerce, the Ministry of Industry and Information Technology, the Ministry of Science and Technology and the Ministry of Education support the implementation of the "thousand-hundred-ten project" of service outsourcing, and China's service outsourcing industry has achieved rapid development. In January 2009, the General Office of the State Council issued the "Reply on Issues Concerning Promoting the Development of the Service Outsourcing Industry" (Letter No. 9 [2009] of the General Office of the State Council), in which Xi'an of Shaanxi province was identified as "China's service outsourcing model city."

II. The Ministry of Commerce, Ministry of Industry and Information Technology, Ministry of Science and Technology, Ministry of Education and relevant departments should adopt the following specific measures:
(A) To actively formulate policies and measures to encourage the development of service outsourcing industry.
(B) To muster resources to support the development of China's service outsourcing model cities and provide support in the aspects of macroeconomic policy, industrial planning, personnel training, and employment promotion and information technology infrastructure.
(C) To enhance the exercitation and training of the college graduates and focus on the development of Xi'an "service outsourcing personnel training center"; to deepen the cooperation between colleges and service outsourcing enterprises, establish online platform of teacher training of service outsourcing courses, establish service outsourcing talent pool and increase the employment in service enterprises of college graduates.
(D) To arrange funds to support service outsourcing enterprises and professional institutions to develop personnel training; to support the construction of China's service outsourcing web; and to support service outsourcing enterprises to obtain international certification, IPR protection, oversea market expansion, and etc.
(E). To actively guide the identification and management of advanced technology-based service enterprises to promote enterprises develop bigger and stronger.
(F) To provide convenient financing conditions for the development of service outsourcing in Xi'an, enhance the cooperation with China Development Bank, China Export-Import Bank and China Export & Credit Insurance Corporation, provide policy-based lending, credit insurance and guarantee services to the infrastructure construction of service outsourcing model city information/technologies service platform, and provide a certain loan support to the major service outsourcing enterprises in model cities.
(G) To develop Onshore service outsourcing business Systematically, and encourage government and enterprises to outsource the business not involving confidence to specialized companies by the means of purchasing services.
(H) To establish and improve the customs supervision mode in accordance with the characteristics of service outsourcing industries to provide appropriate customs advantages.
(I) To further improve the law system of IPR protection, enhance the IPR protection, research and formulate commercial information data privacy regulations and establish and improve personal information protection mechanisms.
(J) To formulate service outsourcing development plan, research and issue relevant standards for service outsourcing industries, and actively guide model cities to carry out dynamic evaluation management.
(K) To carry out investment promotion activities and hold China's Service Outsourcing Fair to attract multinational corporations to transfer their service outsourcing business to China.
(L) To further improve the service outsourcing statistical system.
III. Xi'an has regarded undertaking service outsourcing actively, enlarging export and promoting employment as the development objectives of service outsourcing industries, which is: By 2013, the annual production value the city's service outsourcing industry reaches to 85 billion CNY, among which, 500 million U.S. dollars is from international service outsourcing business; The number of service outsourcing enterprises reaches to 1000; the number of employees involving in service outsourcing is up to 200 thousand, the number of trained people reaches to 150 thousand and college students absorbing in the enterprises will reach to 100 thousand.
IV. A leading party for Service Outsourcing Industry Development should be established by Shaanxi province and Xi'an city to implement the spirit of No. 9 document of the State Council and to implement the following measures to promote the development of service outsourcing industry thoroughly.
(A) To accelerate the formulation of the supporting policies of No. 9 document of the State Council, and improve the policy system of promoting the development of service outsourcing industries; to enhance policy advocacy to help parks and enterprises to obtain a comprehensive understanding to policies and fulfill policies.
(B) To arrange local finance to specially support the development of service outsourcing industries. Shaanxi provincial government and Xi'an municipal government should arrange special funds for the development of service outsourcing industries form local finance, with the amount now less than twice of the central budget support funds.
(C) To do a good job of the identification and management of advanced technology-based service enterprises, encourage enterprises to become bigger and stronger, and to foster leading enterprises.
(D) Combining with the local actual situation, to formulate Xi'an Municipal service outsourcing industries plan to guide industrial development from macro.
(E) To push service outsourcing personnel training vigorously to promote employment.
a. To earnestly implement the "Circular on the management of the funds for supporting the development of international service outsourcing business". Some funds should be arranged to train services outsourcing practical personnel and encourage employment from the local finance.
b. To formulate specific measures to encourage local colleges to establish curriculum system suitable for the training of service outsourcing personnel, accept service outsourcing training projects, enhance the cooperation with service sourcing enterprises and set up service outsourcing personnel training centers.
Xi'an has developed a clear service outsourcing personnel training objectives: by 2013, the number of people engaging in service outsourcing business in the city will reach to 200 thousand, the number of service outsourcing practical personnel cultivated and trained in the next five years will reach to 150 thousand, and the number of college graduates working for service outsourcing enterprises will reach to 100 thousand.
Among which:
In 2009, there will be 15,000 newly added people cultivated and trained, and 11,000 newly added college graduates working in service outsourcing enterprises;
In 2010, there will be 20,000 newly added people cultivated and trained, and 14,500 newly added college graduates working in service outsourcing enterprises;
In 2011, there will be 25,000 new added people cultivated and trained, and 18,500 newly added college graduates working in service outsourcing enterprises;
In 2012, there will be 38,000 newly added people cultivated and trained, and 24,000 newly added college graduates working in service outsourcing enterprises;
In 2013, there will be 52,000 newly added people cultivated and trained, and 32,000 newly added college graduates working in service outsourcing enterprises;
c. To take effective measures to encourage college students to take part in the service outsourcing training projects and create new employment opportunities, to provide a certain financial support to the year's college graduates and Unemployed college graduates for attending service outsourcing training.
d. With Xi'an as the center, to establish local service outsourcing talent pool to achieve the combination between service outsourcing enterprises and college graduates employment.
e. To formulate incentive policies for investment and wisdom introduction to attract high-end personnel for service outsourcing enterprises. The well-known software and service outsourcing enterprises investing in Xi'an should be provided subsidies from the special funds by municipal finance. Large enterprises introduced should be supported by the means of Subjecting to deliberations and one enterprise, one policy for Xi'an major projects. Advanced technology-based outsourcing enterprises in Xi'an city should be encouraged to send employees overseas for customized training. Enterprises should be encouraged to introduce mid-level and senior talents, and the senior technical and managerial personnel from abroad and other places in the country working in Xi'an for the first time should be provided settlement subsidy. The foreigners with long-term employment in software and service outsourcing enterprises and meeting the conditions should be given priority in the transaction of foreign expert certificates, foreigner employment certificates and residence permits; Government should provide advantages to the families of the senior foreign management personnel with long-term employment in immigration, housing, children's schooling, etc.
f. The college student exercitation and training bases identified by service outsourcing training center of model cities should be provided relevant financial support. 
(F) To support service outsourcing enterprises to obtain international certification.
Xi'an Municipal government should arrange special funds to support enterprises to obtain international certification or maintenance upgrades. Enterprises that gain the certification of Capability Maturity Model Integration (CMMI) and the Capability Maturity Model (CMM) should be provided subsidy according to the national subsidy regulation. Enterprises that gained People Capability Maturity Model (PCMM) certification, Information Security Management Standard (ISO27001/BS7799)Certification, IT Service Management (ISO20000) certification, service providers environmental safety (SAS70), P-MARK/PIPA and System Integration Qualification Certification, should be provided the subsidy amount according to the reasonable cost of the certification types. Enterprises that have enjoyed the certifications subsidies should be provided the Certification Maintenance allowance in the following two years by the municipal finance special funds.
(G) To construct public information service platforms for service outsourcing
Xi'an service outsourcing information website should be set up as a part of national service outsourcing public information platform (Outsourcing China www. outs. com. cn), which will introduce the development situation and enterprises of model cities/demonstration zones in Chinese and more than one kind of foreign languages.
(H) To support the construction of infrastructure and industrial environment in demonstration zones
a. To arrange funds to promote Electricity departments and telecommunications departments to provide convenient services for the construction of power systems, network systems and other infrastructure facilities in demonstration zones.
b. To provide proper subsidy to major service outsourcing enterprises for purchasing or renting office space.
(I) Special system of special labor hours should be adopted in service outsourcing enterprises.
Under the premise of laws and regulations, Enterprises are allowed to adjust working hours and adopt flexible working hour's systems according to their own business characteristics.
(J) To provide financing convenience
a. Large and medium-sized service outsourcing enterprises should be supported to restructure assets, adopt mergers and acquisitions, and enter domestic and overseas capital markets for financing.
b. To promote financial innovation, explore and establish effective security mechanism. Service outsourcing Enterprises with a certain scale should be permitted take out a mortgage loan with intangible assets. Relevant departments should actively provide short-term loans to small and medium service outsourcing enterprises.
(K) To encourage developing government and enterprises outsourcing in Xi'an. If meeting regulations, the business not involving in secrets should be outsourced to professional enterprises to promote the development of onshore service outsourcing industry.
(L) To encourage service outsourcing enterprises to innovate independently.
Service outsourcing enterprises should be encouraged to develop independent IPR. Eligible service outsourcing enterprises should be ranked among municipal IPR pilot enterprises or demonstration enterprises, and obtain relevant support; among service outsourcing enterprises, the IPR items achieving significant social or economic benefits should be included in the scope of government incentives, and enterprises should be encouraged to innovate independently.
(M) To further improve the IPR protection environment and enhance business and personal information data security:
a.    Provincial and municipal governments should work together to formulate local laws and regulations for IPR protection and personal information security.
b.    To intensify the crackdown against software piracy and other infringements to intellectual property rights.
c.    To give full play to the role of local industry associations, and vigorously advocate enterprises to be honest and trustworthy, perform the contracts strictly, keep the business confidence for customers and stand to internationally accepted rules of confidentiality.
d.    To comply with internationally accepted principles of protection of personal information and protect personal information.
(N) To develop investment promotion activities actively and effectively
a. Service outsourcing investment promotion should be developed actively and effectively under the guidance of the Ministry of Commerce, Ministry of Industry and Information Technology, Ministry of Science and Technology, Ministry of Education, Xi'an service outsourcing demonstration zones should actively become the members Service Outsourcing Working Committee of China International Investment Promotion.
b. To encourage local service outsourcing enterprises to actively participate the of national service outsourcing brand construction guided by the Ministry of Commerce, Ministry of Industry and Information Technology, Ministry of Science and Technology, Ministry of Education.
c. To participate in and bid for service outsourcing Fair, organize enterprises to attend Service Outsourcing Exhibition and provide a certain financial support. We should work with relevant ministries to participate in the annual compiling of "China's Service Outsourcing Development Report".
(O) To work with "dynamic evaluation to China's service outsourcing model cities", carry out strict supervision, and do a good job in data collection, verification, and submitting. Meanwhile the dynamic management measures for service outsourcing demonstration zones in the city should be formulated and implemented.
(P) To sign co-building agreements of "province, city, park, enterprise", "province, city, park, training institution" and "enterprise, training institution" with all the existing service outsourcing enterprises, training institutions, and clarify the policy supports to enterprises and training institutions provided by provincial government, municipal government and parks. Relevant departments should sign the above-mentioned agreements with newly added service outsourcing enterprises and training institutions in each subsequent. Besides, government should regularly change service outsourcing information and provide corresponding training to all the service outsourcing enterprises and training institutions.
(Q) To formulate other local incentive policies and measures actively (contents should be specifies by provinces and cities).
V. The Ministry of Commerce, Ministry of Industry and Information Technology, Ministry of Science and Technology, Ministry of Education will enhance the guidance and inspection to Xi'an municipal work of promoting the development of service outsourcing industries, and the main contents include: the whether the supporting policies promised by local government are carried out, whether the local supporting funds are dispatched timely and sufficiently, whether the use of the funds is in line with relevant state laws, regulations and financial systems and the promoting effectiveness of service outsourcing industries to college graduates employment.
VI. The Ministry of Commerce, Ministry of Industry and Information Technology, Ministry of Science and Technology, Ministry of Education will carry out regular evaluation to the effects of co-building, and give early termination of the co-building if it doesn't achieve visible results, or doesn't achieve the target.
VII. The co-building duration is five years, after expiration, it can be extended upon consent of the parties.
VIII. This agreement is in five copies, and it was signed on September 29th, 2009.
